Required Documents
1. Articles of Organization
The document filed with the Florida Division of Corporations (or the equivalent in the formation state) to create the LLC. Provides the LLC's name, formation date, and registered agent.
2. Certificate of Good Standing
An official document from the state confirming the LLC is active and current on its filings. Must be issued within 30–60 days of closing. Obtain from sunbiz.org (Florida LLCs) or the equivalent state agency (foreign LLCs).
3. Operating Agreement
The LLC's internal governance document. The title company reviews it to determine who is authorized to sign real estate documents and whether any member or manager approval is required.
4. Authorization Resolution or Member/Manager Consent
A written document signed by the required members or managers confirming that the specific transaction has been approved and identifying the person authorized to sign the closing documents. Required if the operating agreement requires member or manager approval for real estate transactions.
5. EIN (Employer Identification Number)
The LLC's federal tax identification number. Required for tax reporting at closing.
6. Photo ID
Government-issued photo ID for the person signing the closing documents on behalf of the LLC.
For Foreign LLCs (Formed Outside Florida)
In addition to the above, a foreign LLC may need to provide:
